1. Acceptance of Terms
By accessing and using Joze.ai, you the user (in a role of a "Party" or "Sherpa") accept and agree to be bound by these Terms of Use. Participation in our Online AI-Assisted Conflict Resolution process (the "Process") is entirely voluntary. Acceptance occurs by creating an account, selecting/clicking 'Agree,' or using the services. You represent you are at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. Your acceptance is equivalent to an electronic signature under applicable laws (e.g., E-SIGN Act). Joze.ai may update these Terms with notice via email, website posting, or in-app alert. Continued use after changes constitutes acceptance. If you do not agree to these terms, please do not use our services.
2. Description of Service and Role of AI
Joze.ai provides AI-assisted conflict resolution services designed to facilitate communication, ideation, and generate creative settlement options. The Process is administered by a designated 'Sherpa.' The Sherpa role may include human facilitators (governed by separate Sherpa Terms) and AI tools for analysis. AI components are used to analyze information, identify interests, and propose non-binding resolution terms. AI does assess credibility in the process and is outputing results based on its inputs. Services are for civil disputes only (e.g., partnerships, contracts); not for criminal, violent, or regulated matters.
3. AI Accuracy and Use Disclaimer
Users acknowledge that the Sherpa uses generative artificial intelligence which may occasionally produce inaccurate, biased, or 'hallucinated' information. Joze.ai does not guarantee the factual accuracy of any AI-generated output. Users are responsible for verifying all information and settlement terms before agreement. The AI's credibility assessment is a statistical tool and does not constitute a definitive or legal determination of truth. Users agree to report suspected AI errors to support@joze.ai. AI outputs are not substitutes for professional advice.
4. Intellectual Property and Data Usage
Parties retain ownership of all data provided to the platform ('Inputs'). Joze.ai is granted a non-exclusive, royalty-free, irrevocable license to use anonymized, aggregated Inputs solely for improving AI models and services, in compliance with privacy laws. Anonymization removes personally identifiable information. You warrant that your Inputs do not infringe third-party IP. Joze.ai owns all platform IP; you agree not to copy or reverse-engineer it. Users may opt out of data use for AI training via account settings, but this may limit service functionality. Ownership of any final executed settlement agreement belongs to the Parties; however, Joze.ai retains all rights to its underlying technology, Sherpa methodologies, and platform architecture.
5. Neutrality and Non-Binding Nature
The Process is a neutral facilitation mechanism. Neither the platform, the Sherpa, nor the AI will impose an outcome or determine 'right' or 'wrong.' All outputs are advisory only; no proposal or draft generated through the Process shall be binding unless and until the Parties independently execute a separate agreement reflecting their mutual assent. Platform-generated drafts are samples only; execute separately for enforceability.
6. User Obligations and Good Faith
Parties agree to participate in good faith, provide accurate information, and engage respectfully. Meaningful participation requires full disclosure of relevant information, though users may designate specific data as shareable or non-shareable with the other Party within the platform's structure. Breaches will result in account suspension or termination. Prohibited: harassment, spam, or illegal content.
7. No Legal Advice and Service Limitations
Joze.ai is not a law firm and does not provide legal advice or representation. Users are encouraged to consult with independent legal counsel regarding their rights, obligations, and any proposed memorandum of understanding or resolution reached through the platform. Users confirm they understand this limitation before proceeding.
8. Confidentiality and Evidence Waiver
All communications, AI-generated outputs, and discussions within the Process are intended to be confidential compromise negotiations under applicable law. To the extent permitted by law, Parties agree not to subpoena records, prompts, or work products in any judicial or administrative proceeding. Confidentiality does not apply to disclosures required by law, risk of serious harm, or discussions with professional advisors who agree to maintain these terms. Users confirm they understand this limitation before proceeding. This binds all participants, including Sherpas.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the total cumulative liability of Joze.ai, its affiliates, and its Sherpas for any and all claims, whether in contract, tort, or otherwise, shall be limited to the amount actually paid by the Party to Joze.ai for the specific resolution service giving rise to the claim. Joze.ai shall not be liable for any indirect, incidental, consequential, or punitive damages resulting from AI-generated suggestions except for gross negligence or willful misconduct.
10. Indemnification
You agree to indemnify and hold harmless Joze.ai from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your provision of infringing or illegal data, or your misuse of the platform's outputs in a manner that violates the rights of others. Joze.ai indemnifies you for claims arising solely from platform defects (including reasonable legal fees), excluding your actions.
11. Pricing, Payment, and Withdrawal
Joze.ai operates on a fixed-price model provided after initial assessment. Payment is required upfront. We offer a money-back policy if we are unable to complete the resolution process. Either Party may withdraw from the Process at any time for any reason without prejudice to their rights or remedies outside of this Process. Prices exclude taxes. Refunds processed within 30 days if process incomplete due to Joze.ai fault (e.g platform outage).
12. Governing Law and Mandatory Arbitration
These Terms of Service shall be governed by the laws of the Commonwealth of Massachusetts. Except for small claim matters, any dispute arising out of these terms that cannot be resolved through Joze.ai's own process shall be settled by binding arbitration in Boston, MA, rather than in court, under AAA rules. No class actions; individual claims.
13. Severability
If any provision of these Terms of Service is held by a court of competent jurisdiction or other authority to be invalid, illegal, void, or unenforceable, the remaining provisions shall remain in full force and effect. Such invalid, illegal, void, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the original intent and agreements set forth in these Terms of Service.
